Welcome to Peasier! These Terms of Service ("Terms", "Agreement") govern your use of the Peasier photography business management platform operated by Rehoboth Labs LLC (doing business as "Peasier", "we", "us", or "our").

Please read these Terms carefully before using Peasier. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

1. Acceptance of Terms

1.1 Agreement to Terms: By creating an account, accessing, or using Peasier, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.

1.2 Related Documents: These Terms incorporate by reference the following documents, which form part of this Agreement:

1.3 Changes to Terms: We reserve the right, at our sole discretion, to modify these Terms at any time. When we make material changes, we may, at our sole discretion, notify you through the platform and require your acknowledgment of the updated Terms before you can continue using Peasier. If you do not agree to the updated Terms, you may terminate your account.

1.4 Eligibility: You must be at least 18 years old and have the legal capacity to enter into contracts to use Peasier. By using Peasier, you represent and warrant that you meet these requirements.

2. Scope of Services

2.1 Platform Purpose: Peasier is an online SaaS platform that enables professional photographers to upload and store content, create client galleries, and manage their photography business. The features available to you depend on your subscription plan.

2.2 License Grant: Subject to these Terms and your applicable subscription plan, Peasier grants you a revocable, limited, non-exclusive, non-transferable, non-assignable, and non-sublicensable license to access and use the Services solely for your internal business purposes as a photographer during the term of your subscription.

2.3 Platform Control: We reserve the right, at our sole discretion, to: (i) determine the features, settings, pricing, or tools available; (ii) modify, correct, amend, update, upgrade, remove, or replace any features or functionalities of the Services; and (iii) discontinue or cease, temporarily or permanently, any part of the Services without incurring liability to you.

2.4 Content Disclaimer: Peasier does not review content uploaded to the platform. You acknowledge that we are not responsible for any content uploaded by you or third parties. We reserve the right, but are not obligated, to remove any content that violates these Terms.

2.5 Technical Requirements: To ensure the best experience for your clients, you are responsible for complying with technical requirements, including uploading high-resolution content and ensuring its availability. You are responsible for re-uploading content if it is removed or moved from your galleries.

3. Account Registration and Security

To use the Services, you must register and create an account. During registration, you will be required to provide certain information including your email address and business name. You represent and warrant that all information provided is accurate and complete, and you agree to maintain and update this information as required. The information we collect through your use of Peasier is subject to our Privacy Policy.

You are solely responsible for maintaining the confidentiality of your password and account credentials, and for all activities that occur under your account. You may not transfer or share your account with anyone. You agree to notify us immediately if you become aware of any unauthorized use of your account. Peasier is not liable for any loss or damage resulting from your failure to maintain the security of your account.

If you use team features, you are responsible for managing team member access and their activities within your workspace.

Content Visibility and Sharing: By default, galleries are private and require a PIN to access. You are responsible for protecting and sharing gallery links and PINs, and you understand that recipients may forward them to others. If you make a gallery public (no PIN), it may be accessible to anyone with the link and may be indexed, cached, or archived by search engines or third parties. You are responsible for choosing privacy settings and for the content you make public.

4. User Conduct and Prohibited Activities

4.1 Lawful Use: You agree to use Peasier only for lawful purposes and in compliance with all applicable laws, regulations, and these Terms.

4.2 Prohibited Activities: You may NOT:

  • Upload content that is unlawful, threatening, abusive, harassing, defamatory, fraudulent, or invasive of another's privacy
  • Upload nudity, pornography, sexually explicit content, or graphic sexual material
  • Victimize, harass, or discriminate against any individual or group based on religion, gender, sexual orientation, race, ethnicity, age, or disability
  • Infringe on any intellectual property rights of others
  • Offer or sell any goods or services that are hazardous, counterfeit, stolen, fraudulent, or prohibited for sale or distribution
  • Send spam, unsolicited emails, or unauthorized solicitation
  • Upload viruses, malware, malicious code, or agents designed to disrupt, damage, or interfere with system integrity
  • Impose an unreasonable or disproportionately large load on our infrastructure or Services
  • Attempt to breach security, reverse engineer, decompile, or hack Peasier to discover source code or underlying algorithms
  • Access Peasier through unofficial APIs, automated systems, or bypass measures we use to restrict access
  • Impersonate any person or entity
  • Use Peasier for illegal activities, unauthorized purposes, or illegal gambling
  • Use the Services in a manner that violates consumer rights, privacy rights, or trade regulations

4.3 Content Moderation: We reserve the right (but have no obligation) to review, monitor, refuse to post, remove, or modify any content, in whole or in part, that violates these Terms or is otherwise alleged to be unacceptable, undesirable, or inappropriate. We may disclose any information necessary or appropriate to satisfy our legal obligations or operate the Services properly. We may do so without prior notice.

4.4 Reporting Violations: If you become aware of any violation of these Terms, please report it to support@peasier.com.

5. Fair Usage Policy

This policy ensures that our Services remain available and performant for all users by preventing fraud and abuse. Free plans are intended for individual photographer business use only. Photography studios or businesses with multiple photographers should subscribe to team plans or contact us for enterprise options. Each gallery is meant to be created for a single event or client project.

We reserve the right to charge additional fees to users who exceed fair usage limits, including more than 20 GB per gallery or 100 GB of bandwidth per month. We may immediately terminate any account if we determine there is unlawful, prohibited, abnormal, or unusual activity, or if your use of the Services is contrary to this policy.

6. Subscriptions, Fees, and Billing

6.1 Paid Plans: Peasier offers both free and paid subscription plans. Access to certain features and storage capacities requires a paid subscription.

6.2 Fees: All fees are stated on our pricing page. Fees are subject to change with notice. Fees are displayed in USD or NGN depending on your location.

6.3 Payment: Payment is processed through third-party payment processors (currently Paystack, with Stripe and Flutterwave coming soon). You agree to provide accurate payment information and authorize charges to your payment method.

6.4 Auto-Renewal: Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for renewal fees.

6.5 Cancellation: You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of the current billing period.

6.6 Refunds: All fees are non-refundable except as required by law or at our sole discretion. We do not provide refunds for partial months or unused services.

6.7 Taxes: Fees do not include applicable taxes. You are responsible for all taxes related to your use of Peasier. If we are required to collect taxes, they will be added to your invoice.

6.8 Failed Payments: If we cannot process your payment, we may:

  • Retry the charge
  • Suspend your account until payment is received
  • Terminate your account for non-payment

6.9 Chargebacks: If you initiate a chargeback, we may suspend or terminate your account. You will be required to pay all outstanding fees plus any chargeback fees before reactivating your account.

7. Gallery Payments and Client Transactions

Peasier allows photographers to set prices on galleries and create invoices to collect payments from clients. To use these features, you must connect your bank account in your workspace settings. When a client pays for gallery access or an invoice, the funds are settled to your connected bank account after applicable fees are deducted. This feature is currently available only to users with Nigerian bank accounts (Naira currency).

Peasier's Role: Peasier acts solely as a payment facilitator. We are not the merchant of record for transactions between you and your clients. You are responsible for: (i) setting appropriate prices; (ii) fulfilling your obligations to clients; (iii) handling refunds, disputes, or chargebacks with your clients; (iv) complying with applicable tax and consumer protection laws; and (v) any claims arising from your client transactions.

Payment Processing: Client payments are processed through third-party payment processors. Payment processing fees are charged to the client at checkout. We are not liable for payment processing failures, delays, or errors.

Settlement of Naira (NGN) Payments

No Holding of Funds: Peasier does not hold, pool, or retain any funds received from client payments at any point during the payment lifecycle. When a client pays for gallery access or settles an invoice, the payment amount (after applicable fees) is automatically queued for settlement directly to your designated settlement account. Peasier does not act as an escrow, custodian, or wallet service, and at no time are client funds held in any Peasier-owned or Peasier-controlled account.

Settlement Account Requirement: Before you can create an invoice or set up a paid (unpaid) gallery that collects payment from clients, you must first register and verify a valid settlement account within your workspace settings. A settlement account is the bank account to which all client payments will be disbursed. You may not issue invoices, create unpaid galleries, or otherwise collect payments through Peasier until a valid settlement account has been submitted and accepted. You are solely responsible for ensuring that the settlement account details you provide are accurate, current, and belong to you or your authorised business entity. Peasier shall not be liable for any loss, delay, or misdirected payment resulting from incorrect or outdated settlement account information provided by you.

Settlement Timeline (T+1): All Naira settlements are processed on a batched basis and completed within T+1 business days. In this context, "T" (the "Transaction Date") refers to the calendar date on which the client's payment is successfully received and confirmed by the payment processor, and "+1" refers to the next business day (i.e., the next working day, excluding weekends, public holidays, and bank holidays in Nigeria). This means that if a client payment is received and confirmed on a Monday (T), the settlement to your designated bank account will be processed on Tuesday (T+1). If a payment is received on a Friday, settlement will typically be processed on the following Monday, as weekends are not considered business days. Payments received on or immediately before a public holiday will be settled on the next available business day following the holiday.

Batch Processing: Settlements are processed in batches rather than individually. Multiple client payments received on the same Transaction Date (T) may be aggregated and settled as a single disbursement to your settlement account on T+1. Batch processing and settlement scheduling are handled by our third-party payment processor in accordance with their operational procedures.

Settlement Delays: While Peasier endeavours to process all settlements within the T+1 timeline, delays may occur due to circumstances beyond our reasonable control, including but not limited to: bank processing delays, payment processor outages, regulatory holds, fraud prevention reviews, or force majeure events. Peasier shall not be liable for any losses, damages, or inconvenience arising from settlement delays caused by such circumstances.

Deductions Before Settlement: Before settlement is disbursed to your account, any applicable fees — including platform fees (for free-plan users), payment processor charges, and any other applicable deductions — will be automatically subtracted from the gross payment amount. The net amount after deductions is the sum that will be settled into your designated account. A breakdown of fees and the net settlement amount will be available in your workspace dashboard.

Currency: Settlement for Naira payments is made exclusively in Nigerian Naira (NGN) to Nigerian bank accounts. This settlement feature is currently available only to users who have registered a valid Nigerian bank account as their settlement account. Support for additional currencies and regions may be introduced in the future, at Peasier's discretion.

Platform Fees: For users on free plans, Peasier deducts a 5% platform fee from client payments before settlement. Paid plan subscribers are not charged platform fees on client transactions. Current fee structures are available on our pricing page.

Digital Downloads: If you offer paid downloads or other deliverables through Peasier, you must provide your own license terms and any refund or cancellation policies to your clients. Peasier does not grant licenses to your clients and is not responsible for enforcing your terms.

Client Communications: Peasier sends system-generated, transactional emails to your clients on your behalf, including gallery access, invoice delivery, and payment status updates. These messages are created by Peasier and are not intended for marketing. You are responsible for providing accurate client email addresses and ensuring recipients expect these communications. You may not use Peasier to send unsolicited or unrelated messages. We do not guarantee delivery, and messages may be delayed, filtered, or blocked by third-party systems.

Client Contact Data Use: Any client contact information you provide to Peasier may only be used to deliver your gallery access, invoices, and related client communications. You must safeguard client data and may not sell, rent, or share it with third parties except as required to provide your services or as permitted by law.

8. Facial Recognition and AI Features

8.1 Optional Features: Facial recognition and AI auto-tagging are optional features. Facial recognition is disabled by default.

8.2 AI Terms Apply: Your use of facial recognition and AI features is governed by our AI Terms of Service, which supplement these Terms.

CRITICAL: YOUR OBLIGATIONS FOR FACIAL RECOGNITION

Before enabling facial recognition, YOU MUST:

  • Obtain explicit consent from individuals whose faces will be processed
  • Comply with all applicable biometric data protection laws (GDPR, NDPR, BIPA, etc.)
  • Inform individuals about what biometric data you collect and how you use it
  • Provide a way for individuals to withdraw consent
  • Maintain records of consents obtained

Peasier is a Data Processor providing tools. YOU are the Data Controller responsible for compliance. Peasier is NOT liable for your failure to comply with consent requirements.

8.3 Configuration Controls: You can:

  • Enable or disable facial recognition at workspace level
  • Choose between Offline (browser-based) or Cloud (server-based) facial recognition
  • Override workspace defaults at gallery level (can choose more restrictive, not less)
  • Disable AI auto-tagging in workspace settings

8.4 No Guarantees: We do not guarantee the accuracy, reliability, or completeness of facial recognition or AI-generated results. You should always review AI output before relying on it.

8.5 Acceptable Use: You may NOT use facial recognition for:

  • Discriminatory purposes
  • Unauthorized surveillance or tracking
  • Law enforcement without proper legal authority
  • High-risk decisions without human review
  • Any illegal or unethical purposes

9. License Agreement and Intellectual Property Rights

9.1 Your Content Ownership: You retain all ownership rights to the photographs, videos, and other content you upload to Peasier ("Your Content"). We do not claim any ownership of Your Content.

9.2 License to Peasier: By uploading Your Content, you grant Peasier a worldwide, non-exclusive, royalty-free license to host and use Your Content in order to provide you with the Services and operate the Site. This license includes the right to:

  • Store, host, and process Your Content to provide the Services
  • Generate watermarks, thumbnails, and delivery versions
  • Process Your Content with facial recognition and AI (if you enable these features)
  • Display Your Content to clients you authorize
  • Back up Your Content for disaster recovery
  • Use Your Content in connection with Peasier's operation of the Site, provided such Content is attributed to you (e.g., business name, profile picture, tags) as submitted by you

9.3 Your Responsibilities: You represent and warrant that:

  • You own or have the necessary rights to upload Your Content
  • Your Content does not infringe on third-party intellectual property rights
  • You have obtained all necessary consents, releases, and permissions from individuals in Your Content
  • Your Content complies with all applicable laws

9.4 Peasier IP: All rights, title, and interest in Peasier (including software, designs, trademarks, logos, and documentation) are owned by Rehoboth Labs LLC or our licensors. You may not:

  • Copy, modify, or create derivative works of Peasier
  • Reverse engineer or attempt to extract source code
  • Use Peasier trademarks without written permission
  • Remove or alter any copyright notices or proprietary markings

9.5 Feedback: If you provide us with any feedback, suggestions, or comments regarding the Services ("Feedback"), you hereby assign to Peasier all rights, title, and interest in such Feedback. We are free to use such Feedback without any obligation or compensation to you.

9.6 DMCA Policy: We respect intellectual property rights. If you believe your copyright has been infringed, please send a DMCA notice to support@peasier.com with:

  • Identification of the copyrighted work
  • Identification of the infringing material and its location
  • Your contact information
  • A statement that you have a good faith belief that the use is not authorized
  • A statement that the information is accurate and you are authorized to act on behalf of the copyright owner
  • Your physical or electronic signature

9.7 Protection and Data Loss: Although we try our best to restrict the ability of users and visitors to make high resolution copies of Content posted on the Site, we make no representation or warranty that Content will not be unlawfully copied without your consent. You are responsible for any Content that may be lost or unrecoverable through your use of the Services. We recommend maintaining independent backups of all important Content.

10. Data Processing and Privacy

10.1 Privacy Policy: Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms.

10.2 Data Processing Agreement: If you are subject to GDPR, NDPR, or similar data protection laws, our Data Processing Agreement governs the processing of personal data through Peasier.

10.3 Your Role as Data Controller: When you upload client data (photos, names, emails), YOU are the Data Controller and Peasier is the Data Processor. You are responsible for:

  • Obtaining necessary consents from your clients
  • Complying with data protection laws
  • Providing privacy notices to your clients
  • Responding to data subject requests from your clients
  • Ensuring you have a lawful basis for processing

10.4 Data Deletion: When you delete content:

  • Watermarked versions are deleted immediately
  • Facial recognition data is deleted immediately
  • Original files are retained for 30 days (paid plans only) for recovery
  • After 30 days, original files are permanently deleted

10.5 Account Deletion: If you delete your account, your data will be deleted in accordance with our Privacy Policy and DPA. Some data may be retained as required by law.

11. Third-Party Services

11.1 Service Providers: Peasier uses third-party service providers to deliver our services, including:

  • AWS (hosting and storage)
  • Paystack, Stripe (payment processing)
  • Zoho Zepto (email delivery)
  • AI providers (for auto-tagging only - NOT for facial recognition preprocessing)
  • Analytics providers

11.2 Third-Party Terms: Your use of third-party services (especially payment processors) may be subject to their own terms and privacy policies. We are not responsible for third-party services.

11.3 Changes to Providers: We may change service providers from time to time. We will update our sub-processor list and provide notice of material changes.

11.4 No Third-Party Liability: We are not liable for the actions, failures, or data practices of third-party service providers beyond our reasonable control.

11.5 Third-Party Links: Peasier may contain links to third-party websites or resources. These links are provided for convenience only. We have no control over and are not responsible for the content, privacy policies, or practices of any third-party websites. Your use of third-party websites is at your own risk and subject to their terms and conditions.

12. Disclaimers and Warranties

PEASIER IS PROVIDED "AS IS" AND "AS AVAILABLE"

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PEASIER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES OF NON-INFRINGEMENT
  • WARRANTIES THAT PEASIER WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT, DATA, OR AI OUTPUT
  • WARRANTIES THAT DEFECTS WILL BE CORRECTED

12.1 No Guarantee of Availability: We do not guarantee that Peasier will always be available, accessible, uninterrupted, timely, secure, or free from errors.

12.2 Data Loss: While we implement backup and disaster recovery procedures, we do not guarantee that your data will never be lost. You are responsible for maintaining your own backups of important content.

12.3 AI Accuracy: We do not guarantee the accuracy of facial recognition or AI auto-tagging. AI results may contain errors, false positives, or false negatives.

12.4 Security: While we implement industry-standard security measures, we cannot guarantee absolute security. You use Peasier at your own risk.

12.5 Use at Your Own Risk: You acknowledge that you use Peasier at your own risk and that your sole remedy for dissatisfaction is to stop using Peasier.

13. Limitation of Liability

IMPORTANT: LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL PEASIER OR REHOBOTH LABS LLC BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS, DATA BREACHES, OR SECURITY INCIDENTS BEYOND OUR REASONABLE CONTROL
  • DAMAGES ARISING FROM YOUR CONTENT, INCLUDING CLAIMS BY YOUR CLIENTS OR THIRD PARTIES
  • DAMAGES ARISING FROM THIRD-PARTY SERVICES OR PROVIDERS
  • DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE PEASIER
  • DAMAGES ARISING FROM ERRORS, MISTAKES, OR INACCURACIES IN AI OUTPUT
  • DAMAGES ARISING FROM PAYMENT PROCESSING, INVOICE DELIVERY, CURRENCY CONVERSION, TAX CALCULATIONS, OR COLLECTION OF PAYMENTS FROM YOUR CLIENTS

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO PEASIER IN THE 3 MONTHS PRECEDING THE CLAIM.

13.1 Basis of the Bargain: These limitations reflect the allocation of risk between you and Peasier. Peasier would not provide services without these limitations.

13.2 Applicability: These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if Peasier has been advised of the possibility of such damages.

13.3 Exceptions: Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Confidentiality

14.1 Confidential Information: During your use of Peasier, you may have access to non-public, proprietary information ("Confidential Information"). You agree to keep such information confidential and not disclose it to any third party without our prior written consent.

14.2 Exceptions: Confidential Information does not include information that: (i) is or becomes publicly available through no fault of yours; (ii) was already in your possession before disclosure; or (iii) is required to be disclosed by law.

15. Indemnification

15.1 Your Indemnification: You agree to indemnify, defend, and hold harmless Peasier, Rehoboth Labs LLC, and our officers, directors, employees, agents, and affiliates from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use or misuse of Peasier
  • Your violation of these Terms
  • Your Content, including claims that Your Content infringes third-party rights
  • Your violation of any law or regulation
  • Your failure to obtain required consents for facial recognition or other biometric data processing
  • Your failure to comply with data protection laws (GDPR, NDPR, BIPA, etc.)
  • Claims by your clients or individuals in your photos
  • Your negligence or willful misconduct

15.2 Process: We will notify you of any claim subject to indemnification. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification. You will cooperate with us in defending such claims.

15.3 No Settlement: You may not settle any claim that imposes obligations on Peasier without our prior written consent.

16. Termination

16.1 Termination by You: You may terminate your account at any time by:

16.2 Termination by Peasier: We may suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms
  • You engage in fraudulent, abusive, or illegal activity
  • You fail to pay required fees
  • We are required to do so by law
  • Your use of Peasier poses a security or legal risk
  • You violate fair usage policies

16.3 Effect of Termination: Upon termination:

  • Your right to access and use Peasier immediately ceases
  • Your content will be deleted in accordance with Section 10.4 (Data Deletion). For accounts terminated for violation of these Terms, content may be deleted immediately without the 30-day retention period
  • You remain liable for all fees incurred before termination
  • Sections of these Terms that by their nature should survive (indemnification, disclaimers, limitations of liability) will survive

16.4 No Refunds: Termination does not entitle you to any refunds unless required by law.

16.5 Data Deletion: After termination, we will delete your data in accordance with our Privacy Policy and DPA. We may retain some data as required by law.

17. Dispute Resolution and Governing Law

17.1 Governing Law: These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

17.2 Jurisdiction: You agree to submit to the exclusive jurisdiction of the courts located in Sheridan County, Wyoming for resolution of any disputes.

17.3 Informal Resolution: Before filing any formal claim, you agree to attempt to resolve disputes informally by contacting us at support@peasier.com.

17.4 Time Limit for Claims: Any claim arising from these Terms or your use of Peasier must be filed within one (1) year after the cause of action arises or be forever barred.

17.5 No Class Actions: You agree that disputes will be resolved on an individual basis. You waive any right to participate in class action lawsuits or class-wide arbitration.

18. General Provisions

18.1 Entire Agreement: These Terms, together with the Privacy Policy, DPA, AI Terms, and Cookie Policy, constitute the entire agreement between you and Peasier regarding use of our services.

18.2 Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

18.3 Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

18.4 Assignment: You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

18.5 Relationship of the Parties: Each party is an independent contractor. Nothing in these Terms shall be construed to create a joint venture, partnership, or agency relationship between you and Peasier.

18.6 Force Majeure: We are not liable for any failure or delay in performance due to events beyond our reasonable control, including natural disasters, war, terrorism, riots, pandemics, internet disruptions, or government actions.
